Mindlayers offers a hypnotherapy certification and business platform. The Service includes access to the hypnotherapy Certification Programme, the HypnoBoss Community, and Mindlayers AI — software designed to help certified practitioners run and grow their hypnotherapy business. Access to the Service is provided on a subscription basis.

"This Website" refers to this website including its subdomains, applications for mobile and smart devices, the API, the Service, and any applications, source code, scripts or software included as part of the Service.

Unless otherwise specified, all content available on this Website is owned or provided by the Owner or its licensors. The Owner undertakes its utmost effort to ensure that the content provided on this Website infringes no applicable legal provisions or third-party rights.

TERMS OF USE

Unless otherwise specified, the terms of use detailed in this section apply generally when using this Website. By using this Website, Users agree to all the terms herein given.

No Waiver

The Owner's failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision.

Service interruption

The Owner reserves the right to interrupt the Service for maintenance, system updates or any other changes. The Owner may also decide to suspend or terminate the Service altogether. If the Service is terminated, the Owner will cooperate with Users to enable them to withdraw Personal Data in accordance with applicable law. The Service might not be available due to reasons outside the Owner's reasonable control, such as force majeure.

Service reselling

Users may not reproduce, duplicate, copy, sell, resell or exploit any portion of this Website and of its Service without the Owner's express prior written permission.

Privacy policy

The Owner reserves the right to amend or otherwise modify these Terms at any time. The continued use of the Service will signify the User's acceptance of the revised Terms. If Users do not wish to be bound by the changes, they must stop using the Service.

Assignment of contract

The Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms. Users may not assign or transfer their rights or obligations under these Terms in any way, without the written permission of the Owner.

Communications

By using our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. You may opt out by following the unsubscribe link at the bottom of any email.

Severability

Should any provision of these Terms be deemed invalid or unenforceable under applicable law, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

Access to external resources

Through this Website Users may have access to external resources provided by third parties. Users acknowledge and accept that the Owner has no control over such resources and is therefore not responsible for their content and availability.

Acceptable Use Policy

This Website and the Service may only be used within the scope of what they are provided for, under these Terms and applicable law. The Owner reserves the right to take any appropriate measure to protect its legitimate interests including denying Users access to this Website or the Service, terminating contracts, and reporting any misconduct to the competent authorities, whenever Users are suspected to be in violation of any laws, regulations, third-party rights and/or these Terms.

TERMS AND CONDITIONS OF USE

Paid Products

Some of the Products provided on this Website are provided on the basis of payment. The fees, duration and conditions applicable to the purchase of such Products are described below and in the dedicated sections of this Website.

Product description

The Mindlayers Service consists of the following components, all of which are accessible via an active subscription:

Certification Programme — hypnotherapy training materials, videos and modules delivered via instant online access upon subscription commencement. Access is granted immediately on completion of the first payment.
HypnoBoss Community — an online community and support network for Mindlayers members. Access is included as part of an active subscription.
Mindlayers AI — proprietary software designed to assist certified practitioners in running and growing their hypnotherapy business. Access is included as part of an active subscription. Mindlayers AI is provided on an "as is" basis and Mindlayers makes no guarantee as to any specific outcome or commercial result arising from its use.
Physical certification — upon successfully completing the programme and passing a practical examination, Users will receive a physical certificate of completion dispatched by post to the delivery address provided. The physical certificate is conditional on passing the practical exam and is not dispatched until that condition is met.

Prices, descriptions or availability of Products are outlined in the respective sections of this Website and are subject to change without notice.

Subscription and access

Access to the Certification Programme, HypnoBoss Community and Mindlayers AI is provided on a recurring subscription basis. Subscriptions are available on monthly or annual billing cycles, as selected at the time of purchase.

Access to the Service continues for as long as the subscription remains active and payments are made in full and on time. If a subscription payment fails, is cancelled or is not renewed, access to all subscription components will be suspended or terminated at the end of the current billing period.

Mindlayers reserves the right to modify subscription pricing on reasonable notice to Users. Continued use of the Service following a price change constitutes acceptance of the new pricing.

Users are responsible for managing their own subscription, including cancellation. Cancellation of a subscription can be made at any time and will take effect at the end of the current billing period. No partial refunds will be issued for unused time within a billing period.

Upon cancellation or termination of a subscription, Users are responsible for exporting any data or content they wish to retain from Mindlayers AI prior to the end of their access period. Mindlayers shall not be obligated to retain or provide access to User data following the end of the subscription.

Physical certificate dispatch

The physical certificate will be dispatched within a reasonable timeframe following successful completion of the practical examination. Mindlayers shall not be liable for delays caused by postal services, customs processes or other factors outside its reasonable control. Users are responsible for providing an accurate and complete delivery address. Mindlayers shall not be obligated to re-issue or re-dispatch a certificate where it cannot be delivered due to an incorrect or incomplete address provided by the User.

Purchasing process

Users must select their chosen Product, provide billing and contact details and a payment method, review the order, and accept these Terms prior to checkout. Submission of an order creates the obligation to pay the agreed-upon price.

Methods of payment

Mindlayers accepts payment by credit card and debit card. Depending on availability at the time of purchase, payment may also be processed via PayPal or Klarna. All payments are independently processed through authorised third-party payment processors, which may include Stripe, PayPal, Klarna, or a merchant account provider. This Website does not directly collect or store any payment information such as card details. If payment fails or is refused, the Owner shall be under no obligation to fulfil the purchase order.

Retention of usage rights

Users do not acquire any rights to use the purchased Product until the total purchase price is received by the Owner.

USER RIGHTS

Right of withdrawal and cancellation

Subscription — digital content — no right to cancel once access begins
The Certification Programme, HypnoBoss Community and Mindlayers AI are digital services delivered via instant online access upon commencement of the subscription.

The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 provide that you have a 14 day right to cancel a purchase of digital content or a service contract, provided that supply has not yet begun and you have not expressly consented to immediate supply.

By completing your subscription and commencing payment, you expressly request that Mindlayers supply the Service immediately and you acknowledge that, by doing so, you lose your statutory 14 day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

You may cancel your subscription at any time after the initial payment. Cancellation will take effect at the end of your current billing period (monthly or annual, as applicable) and you will retain access to the Service until that date. No refunds or credits will be issued for any unused portion of a billing period.

Any bonus elements included with the subscription, including but not limited to live Q&A sessions, are supplementary and do not affect the subscription terms. Mindlayers reserves the right to modify, reschedule, or substitute bonus elements at any time.

The Consumer Rights Act 2015 requires that digital content and services be as described, fit for purpose and of satisfactory quality. If you believe the Service is materially not as described, please contact Mindlayers at [email protected] and your complaint will be reviewed in accordance with our dispute resolution process. All decisions are made at the sole discretion of Mindlayers and are final.
Physical certificate — separate terms
The physical certificate is a separate element of the programme and is only issued upon successful completion of the practical examination. It does not form part of the digital content delivery and is not dispatched at the time of purchase.

As the physical certificate is produced and personalised to order following examination, it is exempt from the standard 14 day cancellation right under Regulation 28(1)(b) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 as goods made to the consumer's specifications or clearly personalised.

If a physical certificate is lost or damaged in transit, Users should contact [email protected]. Mindlayers will consider replacement requests at its sole discretion.

No guarantee of results — Earnings and Income Disclaimer

The hypnotherapy certification programme provides training and educational content only. Mindlayers makes no guarantee, warranty or representation of any kind — express or implied — as to the earnings, income, revenue, profit, results, outcomes or success that any individual User may achieve as a result of completing the programme or applying its content.

Any income figures, case studies, testimonials or examples referenced on this Website, in marketing materials, or within the programme itself are illustrative only. They represent results achieved by specific individuals under their own particular circumstances and are not typical. They are not a guarantee, promise or projection of what you will earn or achieve. Your results will vary significantly depending on your individual efforts, experience, market conditions, work ethic, personal circumstances, and numerous other factors outside Mindlayers' control.

There is no guarantee that you will make any income at all from applying the skills taught in this programme. Building a paid hypnotherapy practice involves risk, and by subscribing to this programme, you accept full responsibility for your own results. Mindlayers shall not be held liable for any failure to achieve a particular result, income level, or outcome.

Not liable for User's client work

Once certified, Users practise hypnotherapy independently and entirely at their own risk and responsibility. Mindlayers has no involvement in, control over, or liability whatsoever for any services, advice, treatment or interactions the User provides to their own clients. Any claims, complaints, disputes, regulatory actions, damages or losses arising from a User's practice, conduct or client relationships are solely the User's responsibility.

Users are solely responsible for ensuring they hold any required insurance, comply with all applicable laws, regulations and professional standards in their jurisdiction, and operate within the scope of their training before offering any hypnotherapy services to clients. Mindlayers does not provide medical, clinical, therapeutic or legal advice, and nothing in this programme should be construed as such.

LIABILITY AND INDEMNIFICATION

EU and UK Users — Indemnification

The User agrees to indemnify and hold the Owner and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners and employees harmless from and against any claim or demand — including but not limited to lawyer's fees and costs — made by any third party due to or in relation with any culpable use of or connection to the Service, violation of these Terms, or infringement of any third-party rights or statutory provision by the User, to the extent allowed by applicable law.

EU and UK Users — Limitation of liability

Unless otherwise explicitly stated, Users shall have no right to claim damages against the Owner. This does not apply to damages to life, health or physical integrity, damages resulting from the breach of an essential contractual obligation, and/or damages resulting from intent or gross negligence. Unless damages have been caused by intent or gross negligence, or they affect life, health or physical integrity, the Owner shall only be liable to the extent of typical and foreseeable damages at the moment the contract was entered into.

In particular, the Owner shall not be liable for: any loss of business opportunities or indirect losses; damages resulting from force majeure; any losses not the direct consequence of a breach of the Terms by the Owner; or any damage due to viruses or malware.

Australian Users — Limitation of liability

Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy which the User may have under the Competition and Consumer Act 2010 or any similar State and/or Territory legislation which cannot be excluded, restricted or modified. To the fullest extent permitted by law, our liability is limited, at the Owner's sole discretion, to the re-performance of the services or the payment of the cost of having the services supplied again.

US Users — Disclaimer of Warranties

This Website is provided strictly on an "as is" and "as available" basis. Use of the Service is at Users' own risk. To the maximum extent permitted by applicable law, the Owner expressly disclaims all conditions, representations, and warranties — whether express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.

US Users — Limitations of liability

To the maximum extent permitted by applicable law, in no event shall the Owner and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers and employees be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the Service. In no event shall the Owner's total liability exceed the amount paid by User to the Owner in the preceding 12 months, or the period of duration of the agreement between the Owner and User, whichever is shorter.

Force Majeure

The Owner shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, or breakdown of machinery.

EXTERNAL LINKS DISCLAIMER

The Website may contain links to other websites or content belonging to or originating from third parties. Such external links are not investigated, monitored, or checked for accuracy, adequacy, validity, reliability, availability or completeness by the Owner. The Owner will not be a party to or in any way be responsible for monitoring any transaction between the User and third-party providers of products or services.

VALIDITY OF TERMS

Should any provision of these Terms be or be deemed void, invalid or unenforceable, the parties shall do their best to find an agreement on valid and enforceable provisions thereby substituting the void or invalid parts. These Terms constitute the entire Agreement between Users and the Owner with respect to the subject matter hereof and will be enforced to the fullest extent permitted by law.

DISPUTE RESOLUTION

Governing law

This Agreement is solely subject to the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the English courts in connection with any disputes.

Venue of jurisdiction

The Parties submit to the exclusive jurisdiction of the City of London Court, at the Guildhall Buildings, Basinghall Street, London, EC2V 5AR.

Amicable dispute resolution

Users may bring any disputes to the Owner who will try to resolve them amicably. The User may submit the complaint to [email protected]. The Owner will process the complaint within 5 business days of receiving it.

SURVIVING PROVISIONS

This Agreement shall continue in effect until it is terminated by either this Website or the User. Upon termination, the following provisions shall survive:

the User's indemnification obligations shall survive for a period of ten years from the date of termination;
the disclaimer of warranties and representations, and the stipulations under the indemnity and limitation of liability provisions, shall survive indefinitely.

Mindlayers Ltd hosts this content and only collects the Personal Data strictly necessary for it to be provided.

Legal Information
